Terms of service

Effective: October 10, 2026

These terms of service ("these Terms") set out the conditions for using TOMO, an AI platform for foreign worker retention ("the Service"), provided by Lumiq Inc. ("we"). Registered support organizations and other corporations or bodies that use the Service ("customer organizations") use it on the condition that they agree to these Terms.

This English translation is provided for reference. If it differs from the Japanese version, the Japanese version prevails.

1. Scope

These Terms apply to all relations between us and a customer organization concerning the use of the Service. If we and a customer organization sign a separate contract and its contents differ from these Terms, the separate contract prevails.

2. Applying for the Service

A contract for the Service is formed when a customer organization applies in the way we specify and we accept the application. We may decline an application, for example if it contains information that is not true.

3. Accounts

Customer organizations are responsible for managing their staff accounts and login information. Any action taken with a customer organization's account is treated as an action by that customer organization.

4. Registering information on workers and others

When a customer organization registers information on the foreign nationals it supports ("workers") or on contacts at host companies, it gives any required notice and obtains any required consent itself, in line with the Act on the Protection of Personal Information and other laws.

5. Fees and payment

  • Fees are the monthly base fee plus a fee per worker, as shown on the pricing page (excluding tax). Workers are counted as described on the pricing page. Any setup fee is agreed with each customer organization.
  • Fees are charged automatically each month by credit card.
  • Fees already paid are not refunded, except where required by law.
  • We may change our fees. If we do, we will notify customer organizations at least 30 days before the change takes effect.

6. Failed payments

If payment has not been confirmed seven days after a charge fails, we may stop all or part of the Service, including replies and messages to workers. The Service can be resumed once payment is confirmed.

7. Term and cancellation

  • The contract runs month to month and renews automatically on the same terms unless the customer organization cancels.
  • A customer organization can cancel at any time from the settings screen of the Service or by contacting us.
  • After cancelling, the customer organization can use the Service until the end of the current billing period. No pro-rata refund is given for cancellation part way through a billing period.

8. AI output

  • Replies, translations, draft records, condition scores and other output generated by AI in the Service are reference information to assist the customer organization's work. They may contain errors or omissions.
  • The customer organization checks the contents and decides for itself when preparing or submitting documents required by law and when deciding how to support workers.
  • Contacting outside bodies such as hospitals, the police or government offices is decided and done by the customer organization's staff.
  • The Service does not replace advice from medical, legal or other professionals.

9. Prohibited conduct

When using the Service, customer organizations must not:

  • act against the law or public order and morals
  • infringe the rights or interests of us, workers or any other third party
  • use the Service to cause unfair disadvantage to workers
  • register personal information on workers or others without the required consent or notice
  • access the Service without authorization, place an excessive load on it, or interfere with its operation
  • analyze the Service, including by reverse engineering
  • let third parties use the Service, or resell it, without our consent

10. Data

  • Rights to the information a customer organization registers in the Service, and to consultation records and other data built up in the Service ("customer data"), remain with the customer organization.
  • We use customer data to the extent needed to provide and improve the Service.
  • We may use statistically processed information, in a form that does not identify customer organizations or workers, to improve the Service.
  • Personal information is handled in line with our privacy policy.

11. Data after the contract ends

After a contract ends, we keep the customer data for 30 days and then delete it, except for data that must be kept by law. If the customer organization asks within those 30 days, we provide the customer data in a format we specify.

12. Changes to and suspension of the Service

  • We may change the Service or add or end features. We will give notice in advance of changes that significantly affect customer organizations.
  • We may stop all or part of the Service for maintenance, faults, outages of outside services we use (such as LINE or generative AI), or other unavoidable reasons. We will give notice in advance where we can, but not in an emergency.

13. Suspension and termination

If a customer organization breaches these Terms, fails to pay fees, or there is any other reason that makes it difficult to continue the contract, we may suspend its use of the Service or terminate the contract after notifying it.

14. Exclusion of anti-social forces

Each customer organization and we promise that we are not, and will not become, an organized crime group, a member of one, or any other anti-social force. If the other party breaks this promise, the contract can be terminated without notice.

15. Confidentiality

Each customer organization and we will not disclose to any third party, or use for any purpose other than the Service, the technical or business secrets of the other party learned through the Service, without the other party's consent. This does not apply to disclosure required by law.

16. Liability

  • Except in cases of our willful misconduct or gross negligence, our liability for damage suffered by a customer organization in connection with the Service is limited to the total fees the customer organization paid us in the 12 months before the month in which the damage occurred.
  • Except in cases of our willful misconduct or gross negligence, we are not liable for damage arising from decisions the customer organization made based on AI replies or other output.

17. Changes to these Terms

We may change these Terms in line with the Civil Code. If we do, we will announce the new terms and the date they take effect on this page before that date.

18. Governing law and jurisdiction

These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction in the first instance over any dispute concerning the Service.
